The [ICANN] Board, acting through the NGPC [ICANN’s New gTLD Program Committee], acted in a manner inconsistent with its Articles, Bylaws and Applicant Guidebook because, as more fully explained below, by giving complete deference to the consensus advice of the Government Advisory Committee (“GAC”) regarding whether there was a well-founded public policy reason for its advice, the NGPC failed in its duty to independently evaluate and determine whether valid and merits based public policy interests existed supporting the GAC’s consensus advice. In sum, we conclude that the NGPC failed to exercise the requisite degree of independent judgment in making its decision as required by Article IV, Section 3.4(iii) of its Bylaws. (See also ICANN, Supplementary Procedures, Rule 8(iii) [hereafter “Supplementary Procedures”] ... While the GAC was not required to give a reason or rationale for its consensus advice, the Board, through the NPGC, was. In this regard, the Board, acting through the NGPC, failed in its duty to explain and give adequate reasons for its decision, beyond merely citing to its reliance on the GAC advice and the presumption, albeit a strong presumption, that it was based on valid and legitimate public policy concerns. An explanation of the NGPC’s reasons for denying the applications was particularly important in this matter, given the absence of any rationale or reasons provided by the GAC for its advice and the fact that the record before the NGPC failed to substantially support the existence of a well-founded and merits-based public policy reason for denying Amazon’s applications ..." (emphasis added)
Costs, fees, expenses and attorney fees (p. 53):
"ICANN shall reimburse Amazon the sum of US$163,045.51, representing that portion of said fees and expenses in excess of the apportioned costs previously incurred by Amazon ... Each side will bear its own expenses and attorneys’ fees."
 So what happens next? 
"The practical effect of the Panel's ruling is that the dispute is remanded for further proceedings. In other words, Brazil, Peru, the GAC and ICANN, as well as Amazon, may now supplement and strengthen their positions. The Applicant Guidebook states that the objective for ICANN is to "determine whether approval would be in the best interest of the internet community." §5.1. Here, all the interested parties, including Brazil, Peru and the GAC, are members of that community. See Bylaws, Art. I, § 2(11). They all share a common objective and potentially a common benefit in promoting their respective interests anew in light of this Declaration."--Hon. A. Howard Matz, IRP supra, p.67 (emphasis added)

Domain Mondo's analysis and opinion:

Upon "remand" and in accordance with the "objective for ICANN" referenced by Judge Matz above, Brazil, Peru, and the GAC, may very well prevail. As I have noted before, ICANN's dot BRAND new gTLDs were a BAD idea and completely contrary to the historic principles of the internet, see RFC 1591 and News Review: ICANN's Extortionate .BRAND Scam Failing.

Trademarks as generic top-level domains, and presumptive rights of renewal (of gTLD registry agreements), are two of the worst corruptions of the global internet DNS foisted by inept ICANN and its corrupt GNSO upon the global internet community. All TLDs are global public resources, NOT property, in accordance with RFC 1591 and the U.S. government's argument in the recent Weinstein case (pdf). But greed, conflicts of interest, cronyism, and incompetence govern ICANN policy-making and implementation.

CCWG-Accountability Work Stream 2 Issues Jurisdiction Questionnaire | ICANN.org"The newly-adopted ICANN Bylaws created several Work Stream 2 accountability subgroups. One of these subgroups, the Jurisdiction Subgroup, is addressing questions related to ICANN's jurisdiction, including how choice of jurisdiction and applicable laws for dispute settlement impact ICANN's accountability and the actual operation of policies. The Jurisdiction Subgroup has put out a questionnaire seeking responses to several jurisdiction-related questions. The Subgroup is asking you to consider and respond to these questions with concrete, factual submissions. The questionnaire can be found at https://community.icann.org/x/UpXRAw and is available in each of the 6 languages supported by ICANN. You may respond to the questionnaire in any of these languages. Responses must be transmitted via email to ccwg-acctws2.jurisdiction.questionnaire @icann.org . ICANN Articles of Incorporation as revised (emphasis added):
1. The name of this corporation is Internet Corporation for Assigned Names and Numbers (the "Corporation").
2. The name of the Corporation's initial agent for service of process in the State of California, United States of America is C T Corporation System.
3. This Corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the California Nonprofit Public Benefit Corporation Law for charitable and public purposes. The Corporation is organized, and will be operated, exclusively for charitable, educational, and scientific purposes within the meaning of § 501 (c)(3) of the Internal Revenue Code of 1986, as amended (the "Code"), or the corresponding provision of any future United States tax code. Any reference in these Articles to the Code shall include the corresponding provisions of any further United States tax code ....


ICANN Bylaws as revised (emphasis added):
ARTICLE 4: Section 4.7. COMMUNITY MEDIATION: ... (e) The mediator shall conduct the mediation in accordance with these Bylaws, the laws of California and the rules and procedures of a well-respected international dispute resolution provider, which may be the IRP Provider. The arbitration will be conducted in the English language consistent with the provisions relevant for mediation under the IRP Rules of Procedure and will occur in Los Angeles County, California, unless another location is mutually-agreed between the Mediation Administration and Board Mediation Representatives.

(a) ICANN, in its capacity as the sole Member of PTI, shall elect the directors of PTI in accordance with the articles of incorporation and bylaws of PTI and have all other powers of a sole Member under the CCC except as otherwise provided in these Bylaws.
(b) No amendment or modification of the articles of incorporation of PTI shall be effective unless approved by the EC (pursuant to the procedures applicable to Articles Amendments described in Section 25.2, as if such Article Amendment referenced therein refers to an amendment of PTI's articles of incorporation).
(c) ICANN shall not amend or modify the bylaws of PTI in a manner that would effect any of the matters set forth in clauses (i) through (xiv) below (a "PTI Bylaw Amendment") if such PTI Bylaw Amendment has been rejected by the EC pursuant to the procedures described in Section 16.2(e):
(i) any change to the corporate form of PTI to an entity that is not a California nonprofit public benefit corporation organized under the CCC or any successor statute ....

The Board further resolved (2016.05.27.02), "the New ICANN Bylaws will be deemed effective upon the expiration the IANA Functions Contract between ICANN and NTIA."  Also "Resolved (2015.05.27.05), the ICANN Board approves the posting of the draft Restated Articles of Incorporation for public comment on the ICANN website as soon as reasonably practicable." The ICANN Board of Directors is scheduled to consider adoption of new ICANN Bylaws "on or about May 27, 2016."
"Once New ICANN Bylaws have been adopted, ICANN will notify NTIA. NTIA has stated that it needs to see that changes to the Bylaws have been adopted sufficient to implement the Transition Proposals before NTIA can complete its review of the Transition Proposals. Once adopted, the Bylaws are expected to [go] into effect in the event NTIA approves of the IANA Stewardship Transition Proposal and the IANA Functions Contract expires."--ICANN (emphasis and link added)

 POLITICO.com has reported a Senate Commerce Committee hearing on "the U.S. handover of oversight of some Internet operations — the so-called IANA transition" is now tentatively scheduled for Tuesday, May 24th, and NTIA, "the branch of the Commerce Department tasked with making a final decision on approving the handover, has said it’s aiming to give a thumbs up or down by the second week of June."

2. Draft of New ICANN Bylaws: comments close 21 May 2016 23:59 UTC"Adoption of the new Bylaws by the ICANN Board is anticipated for on or around 27 May 2016. Once new ICANN Bylaws have been adopted, ICANN will notify NTIA so they can complete their anticipated 90-day review of the IANA Stewardship Transition Proposal"--ICANN. Review all comments submitted here. Note that three groups involved in the IANA transition--the ICG, the CCWG-Accountability, and IAB (Internet Architecture Board)--have already submitted comments, essentially telling the drafters to remove provisions in the draft inconsistent with the IANA transition plans. Part of the problem is the drafting bylaws process, as explained in the CCWG-Accountability comment: "Given the necessary complexity of the Draft Bylaws and the short timeframes we are working under, the CCWG participants were unable to conduct a thorough review prior to publication for public consultation." (emphasis added)

A good example of all the details involved is IANA CWG Meeting #79 (12 May 2016) and the slide presentation (pdf) from that meeting. 

•  ICANN budget: ICANN held community calls on the Draft ICANN FY17 Operating Plan and Budget. Some interesting comments were submitted by various stakeholders, including:
"Similar to what we communicated in our comments a year ago for the Draft FY16 Operating Plan &Budget, we again are concerned that planned expenses are growing too fast and faster than planned revenue. In particular, revenue is forecasted to grow by $11.6M (9.6%) while expenses are projected to grow by $17.8M (16.3%). We appreciate the fact that planned expenses balance planned revenue but we would suggest that continuing to simply spend all of increased revenue is not the only option; because gTLD registries, registrars and registrants fund well over 95% of ICANN’s revenue, reducing gTLD fees should be considered as well."--gTLD Registries Stakeholder Group (RySG) (emphasis added)

 .AFRICA UPDATE: ICANN has appealed the U.S. District Court's Order granting a Preliminary Injunction in the DCA (DotConnectAfrica) Trust vs ICANN and ZACR litigation over new gTLD .AFRICA. In the District Court, ICANN has allowed ZACR to take the lead, and ZACR has filed a Motion to Reconsider and Vacate the Preliminary Injunction Order (which DCA Trust won), with a hearing date of June 6, 2016, in the U.S. District Court at Los Angeles. ICANN has joined (pdf) in ZACR's motion.   .AMAZON: I recently read ICANN's 25-page Response (pdf) to the IRP filed by Amazon (Amazon EU S.à.r.l.), concerning Amazon's 3 new gTLD applications: .AMAZON and its equivalent in Chinese and Japanese characters. The ICANN response together with the witness statement of Akram Atallah (pdf) and Exhibits R-1 to R-38 (pdf), provide a good history of the new gTLDs program, the particulars of Amazon's applications, and the powers granted to the GAC (Governmental Advisory Committee) in the new gTLDs program Guidebook, which itself went through a long development process at ICANN:

Money quote from ICANN's response (pp. 2-3):
While it is understandable that Amazon, faced with “injur[y to its] business model,” continues to pursue its Applications through the Independent Review Process, Amazon’s arguments should be rejected because:
a. In highlighting the fact that its Applications passed the reviews for geographic names and community objections, Amazon wrongly deprecates the GAC’s separate role in raising governmental concerns about applications. Those concerns led to GAC consensus advice against the Applications, which the ICANN Board evaluated and ultimately accepted. This meant that Amazon’s Applications could not proceed, even though they passed other parts of the evaluation.
b. Despite Amazon’s claims that ICANN bowed to “political pressure” from Brazil and Peru and “abdicated its independent decision-making role,” the record shows that ICANN’s NGPC [New gTLD Program Committee] independently investigated the circumstances, considered extensive arguments made by Amazon, and even commissioned an independent legal expert to advise whether denial of Amazon’s Applications was inconsistent with international law – the primary legal contention Amazon was then making. The NGPC was careful, thorough, neutral, and objective in its decision to accept the GAC consensus advice. (emphasis added) 
Of course, at that same time, ICANN was also deeply involved with Brazil in the NETmundial meeting (conflicts of interest are systemic within ICANN). The NGPC decision and further background information on .AMAZON may be reviewed here. "Governmental concerns" obviously won the day at ICANN on the Amazon new gTLDs. It is conceivable this IRP could lead to more litigation (see .AFRICA above) in the U.S. judicial system, since both Amazon and ICANN have "deep pockets," and ICANN is on shaky ground in blocking Amazon from using its own trademark as a new gTLD:
"[ICANN has] continued to deny Amazon the dot Amazon top level domain, claiming it is somehow a geographical indicator. Now that’s just not true, it’s not a geographic indication, and there is no law that I’m aware of in my 22 years of practice that supports that conclusion." --J Scott Evans, trademark attorney and former INTA President
•  .BLOG: It was reported this week that Automattic (domain: automattic.com), owner of Wordpress and WooCommerce, "is actively asking businesses having the word ‘woo’ in their domain name to change the domain name" according to WPMayor.com.  Wonder if Automattic will now try the same tactic with the word 'blog,' which is also their new gTLD (pdf)? Read more: The creator of WordPress on why .blog was worth $19 million | VentureBeat.com. $19 million? It was originally reported that the sales price was $30 million. But that must have been just more new gTLDs hype. In any event, it will be interesting to see what happens to .BLOG. It has the right operator, is only 4 characters, and is a recognizable term and category. Negatives are that the word 'blog' is in decline, as is 'web'--so sayeth Google--

•  ICANN FY15 Form 990 Announcement May 13, 2016: "ICANN's FY15 Form 990 [PDF, 5.51 MB], as well as the restatements for FY14 Form 990 [PDF, 5.60 MB] and FY13 Form 990 [PDF, 5.06 MB], are now posted and are available to the community." Note FY15 Lobbying expenditures: "The organization [ICANN] utilized the services of a staff registered lobbyist and three government affairs firms during the year ended June 30, 2015, for a cost of $620,997."

•  GoodbyeICANN Announces Senior Leader Transitions"The Internet Corporation for Assigned Names and Numbers (ICANN) today announced its Chief Contract Compliance Officer, Allen R. Grogan, and Nora Abusitta, Senior Vice President of Development and Public Responsibility Programs (DPRD), have notified the organization of their intent to leave ICANN later this year. Grogan will transition to a part-time role beginning 1 August 2016 and continue to oversee Contractual Compliance and Consumer Safeguards until his departure at the end of December 2016. Abusitta will remain in her current capacity until 1 June 2016, followed by a short part-time engagement period ..."  As Chief Contract Compliance Officer, Grogan has been criticized by ICANN stakeholders, with one stating, "The Compliance department of ICANN is an unmitigated disaster when it comes to earning the consumer trust." Grogan was reportedly one of several cronies ex-CEO Fadi Chehade hired during Chehade's short tenure (3½ years) at ICANN. The global internet community can only hope that all of Chehade's cronies at ICANN follow Grogan's lead out the door.

Domain Mondo's review of the past week and look ahead [pdf here]:

• At ICANN not much happened this week as all the head honchos were partying in Geneva, Switzerland, at WSIS Forum 2016 (see further below). Comments close this week on two issues:
 In the IANA stewardship transition, there have been no new developments reported by ICANN or its "Community." The new ICANN bylaws posted for comment are the subject of considerable discussion on the various email lists of various stakeholder groups, CCWG-Accountability, CWG-Stewardship (Names), and ICG (IANA Stewardship Transition Coordination Group). One very important constituent body, the Internet Architecture Board (IAB), has already filed its formal comment to the proposed bylaws:
".... It is the IAB's firm belief that given the time remaining to successfully conclude the transition process in 2016, the only option is for the implementation process to remain faithful to the ICG and CCWG-Accountability proposals. We reiterate our recommendation that sections 1.1(d)(ii)(B)-(E) be deleted from the final Bylaws, and that section 1.1(d)(ii)(F) be amended such that it applies only to renewals of agreements described in section 1.1(d)(ii)(A)."

•  Speaking of bylaws, ICANN is presenting an "ICANN's Bylaws Amendment Process Webinar" on 9 May 2016 at 23:00 UTC for 60 minutes. Details here (pdf).

•  In DotConnectAfrica [DCA] Trust vs ICANN and ZACRICANN has withdrawn its Motion to Dismiss (pdf) "in view of the Court's order on DCA's Motion for Preliminary Injuction" (which DCA won), and Defendant ZACR has now filed its own Motion to Dismiss (pdf) set for hearing on May 31, 2016, at 9:00 am in the U.S. District Court at Los Angeles. • WSIS Forum 2016 concluded Friday in Geneva, Switzerland. To view the archived videos visit this link: https://www.itu.int/net4/wsis/forum/2016/Media/RP/Webcast/Archived/. If you ever try to remotely participate or observe any UN or UN agency "forum" like WSIS or other ITU events, you will likely find the official website is awkward to navigate and very difficult to find the sessions you are interested in viewing. WSIS Forum 2016 was no exception. Example: good luck trying to find the link above to the archived videos anywhere on the official WSIS website. The good news is that you missed nothing, nothing of substance happened at WSIS 2016. If still interested, you can find good summary reports of each session here: WSIS Forum 2016 | DigitalWatch.

•  Such a Deal! Namecheap.com is offering .XYZ domain names for only 44 cents through May 17, 2016. I once owned (as registrant) a .XYZ domain name. It was the only new gTLD domain name I have ever had in my portfolio. Network Solutions gave it to me for free (I didn't even ask for it, it was just added to my account). It was an exact match of a .COM domain name I then had at Network Solutions. I actually built a website on the .XYZ domain name as an 'experiment.' A year later (June, 2015), Network Solutions wanted almost $40 to renew the registration for 1 year. I called them up. At that point, everyone I talked to at Network Solutions had 'soured' on .XYZ, and wouldn't budge on the renewal fee. I actually would have renewed it had they been reasonable. I then contacted my two preferred reputable Domain Name Registars to see if I could transfer in the .XYZ domain name. One was neither offering .XYZ registrations nor accepting .XYZ transfers at that time. The other offered .XYZ registrations but was not accepting .XYZ transfers. I dropped the .XYZ domain name and have never looked back. My personal portfolio plan is to eventually eliminate everything but .COM domain names from the portfolio. Stick with the gold standard, it makes things so much easier.

Speaking of domain names, it's no secret that Chinese speculators, Chinese cybersquatters (trademark infringers), and Chinese cybercriminals, have registered over 50% of all new gTLD domain names to date (note: more intelligent and wealthier Chinese have invested heavily in .COM domain names). So what does the future hold for all those Chinese new gTLD domain name registrations? One new gTLD domain industry insider says:
"As the number of new domains added to the pool keeps growing faster than the number of real people looking to create a website, it is only a matter of time before reality catches up with the Chinese investors and the bubble bursts."--Francesco Cetraro, Head of Registry Operations for .CLOUD, writing in DomainNameWire.com May 6, 2016.
•  Missed noting this last week--Wall Street Journal readers are still upset with ICANN Chairman Steve Crocker's op-ed: WSJ Letters to the Editor: Why Change an Internet Regime That Works? - WSJ: "The only “risk” Mr. Crocker cites from “maintaining the status quo” is that other governments “may try to move control to organizations like the United Nations.” Don’t they already? ... Nowhere does Mr. Crocker explain how ceding U.S. stewardship 'will allow online innovation and productivity to continue to thrive'—nowhere!"

•  This week in tech: 
  • Unicorn bubble bursts? Venture capitalist, Bill Gurley, in a 5,500-word essay on his blog, AboveTheCrowd.com, writes:“All Unicorn participants—founders, company employees, venture investors and their limited partners (LPs)—are seeing their fortunes put at risk from the very nature of the Unicorn phenomenon itself ...” What went wrong? Gurley identifies the following: 1. Emotional biases2. “Dirty deals;” 3. Inscrutable financials; and last, but not least, 4. Too much money - “The reason we are all in this mess is because of the excessive amounts of capital that have poured into the VC-backed startup market. More money will not solve any of these problems—it will only contribute to them.”
  • Don't Cry for Marissa--Yahoo's Marissa Mayer gets $55M to leave | CNBC.com"The CEO of the embattled online news site, currently trying to sell itself, is entitled to severance benefits valued at $54.9 million in case she is terminated without cause"--not bad considering the stock lost a third of its value in 2015. See also Yahoo's $8 Billion Black Hole | Bloomberg.com: "Mayer’s struggles at Yahoo also underscore that in the Valley there are winners and smoking craters—but very few middle-of-the-road successes. Dear Chartering Organizations,
We are writing to you to follow up on our email from 6 March (available here), and provide an update on the Work Stream 1 implementation  oversight and scoping for Work Stream 2. Hearing no objections from the Chartering Organizations, we have proceeded with an implementation oversight role to ensure that the implementation is consistent with the Work Stream 1 report.

To date, this work has been focused on the drafting of Bylaws and Articles of Incorporation. There is a critical path for the Bylaws drafting, and along with the CWG-Stewardship co-Chairs, we have instructed our legal teams to work with ICANN to draft the Bylaws. It is expected that a final draft of the proposed revisions to the Bylaws would be available for CCWG review by 2 April at the latest. The CCWG has two calls scheduled to facilitate its review of the Bylaws. Following CCWG review, the Bylaws would be published for an open community-wide public comment period.

It is important to remember that the overall transition schedule [see below] depends on completing this work. In order for the transition to take place by the end of the current contract between NTIA and ICANN on 30 September, ICANN must publish the Bylaws for a 30-day public comment period by 20 April, and the Board would need to approve the changes to the Bylaws by 27 May.

Once the Bylaws work is complete, we will turn our focus to:
  • Completing the work on IRP [Independent Review Process] that goes beyond the Bylaws
  • Finalizing the budget process in coordination with the CWG-Stewardship
  • Undertaking Work Stream 2 (WS2)
You may have seen a call for WS2 volunteers on the ICANN website last week (available here). We ask that you also share this call for volunteers widely to ensure that all interested parties, including those outside of the ICANN ecosystem, are aware that they are welcome to participate in projects of WS2. It is important for our group to continue to strive for maximized diversity of our participants going forward.

We would like to emphasize that the CCWG-Accountability will remain open to anyone who wishes to join, and we will welcome informed individuals with relevant implementation and operational experience to join the CCWG-Accountability in this next phase. Finally, we are conscious of the
heavy workload the CCWG-Accountability has been for your appointed members, and we would like to ask once more for Chartering Organizations to re-confirm member participation, and appoint new replacement members if necessary.

Although the CCWG has completed an important part of our work, we are far from done, and there are a number of projects we must still complete. These projects include:

"Bylaws Drafting
The immediate focus of our efforts is drafting the necessary Bylaws based on our WS1 recommendations. As discussed during our meeting on 10 March at ICANN55 in Marrakech, there is a critical path for the Bylaws drafting. Along with the CWG-Stewardship co-Chairs, we have instructed our legal teams to work with ICANN to draft the Bylaws. The legal teams will meet in Los Angeles on Wednesday, Thursday, and Friday of this week to work through and refine language for the draft Bylaws. Our CCWG Rapporteur, Becky Burr, will attend the meeting as an observer and will send through written updates to the CCWG mailing list. Chris Disspain will also attend as an observer from the ICANN Board, and Bernard Turcotte will observe in his support role to the CCWG-Accountability.

"It is expected that the lawyers will come to an agreement by the end of this meeting and that a final draft of the proposed revisions to the Bylaws would be available for CCWG review by Friday 2 April 2016 at the latest.

"It is important to remember that the overall transition schedule depends on completing this work. In order for the transition to take place by the end of the current contract between NTIA and ICANN on 30 September 2016:

  • ICANN must publish the Bylaws for a 30-day public comment period beginning on 20 April.
  • This timeline would allow the Board to approve the changes to the Bylaws on 27 May.

Prior to submission to the CCWG, the external counsel to the CCWG will be asked to confirm that the Bylaws are an appropriate reflection of the CCWG’s proposal.

"We do not anticipate any plenary CCWG calls before the Bylaw review calls on 5 and 7 April. The IRP subgroup may have a meeting next week to discuss the IRP section of the Bylaws, but we leave this decision to Becky who is leading the effort on developing further IRP implementation guidance.

"Implementation and WS2

Once the Bylaws work is complete, we will turn our focus to our inventory of WS2 items. However, this does not prevent anyone in the group from launching into discussions on the mailing list and self-organizing around the topics.

"Regarding mailing lists, we have decided to keep the conversation on the main CCWG list until there is enough interest and discussion to launch a separate sub-group list. This way, we can manage the prioritization and sequencing of our work based on the group’s interest. To help us make a determination on when to launch a separate mailing list, it would be useful for the discussion on the main CCWG mailing list to be around scope, initial research, work plan, etc. It should be noted that the Human Rights effort already has a mailing list (former “WP4” group), and anyone interested in joining that mailing list may contact acct-staff.

ICANN CEO, CCWG Co-Chair--Ships Passing in the Night?--the following is a portion of the transcript of the GAC meeting, October 17, 2015, (part of the ICANN 54 meeting which officially runs from October 18-22, 2015):

ICANN CEO FADI CHEHADE: "... AS THE PROTECTOR OF THE MISSION AND THE PUBLIC INTEREST IN ICANN. THAT IS OUR ULTIMATE ROLE. IN FACT, THE BOARD OF DIRECTORS OF ICANN IS THE ONLY PLACE ULTIMATELY WHERE AFTER THINGS GO THROUGH YOU -- AND CLEARLY, GOVERNMENTS HAVE A BIG ROLE IN ENSURING THE PUBLIC INTEREST IS PROTECTED, BUT ONCE IT GETS TO A DECISION POINT, THE BOARD, WHICH INCLUDES PEOPLE FROM THE BUSINESS AND FROM DIFFERENT PARTS OF ICANN, MUST UPHOLD THE PUBLIC INTEREST. THAT'S NOT HOW WE WILL PRESERVE THE PUBLIC INTEREST IN ICANN. SO YES, LET'S HAVE BOARD REMOVAL. HERE WE PROPOSED SEVERAL IDEAS. EVERY BOARD MEMBER COULD SIGN A CONTRACT BEFORE THEY BECOME A BOARD MEMBER. AND THE CONTRACT INCLUDES CONDITIONS THAT THE COMMUNITY COULD SET. FOR EXAMPLE, REMEMBER THE BINDING ARBITRATION I JUST DISCUSSED? IF A BINDING ARBITRATION AWARD SAYS ICANN SHOULD DO X AND THE BOARD MEMBER VOTES AGAINST IT, YOU COULD PUT IN THEIR CONTRACT THAT IF THEY DO THAT, THEY MUST RESIGN. INSTANTLY. THEY'RE OFF THE BOARD. WHEN I MEET MANY OF YOUR GOVERNMENTS AND I WAS JUST AT THE ITU MEETING IN BUDAPEST AND MET MANY, MANY MINISTERS AND GOVERNMENTAL OFFICIALS, WHAT THEY ASKED ME, WHAT ARE YOU WORRIED ABOUT NOW THAT YOU'RE LEAVING? WHAT IS TOP OF YOUR MIND? I'LL BE CANDID WITH YOU. I AM VERY WORRIED THAT WE, AT THE END OF THIS ACCOUNTABILITY REFORM, END UP DAMAGING THE MULTISTAKEHOLDER MODEL. IF WE DAMAGE THE MULTISTAKEHOLDER MODEL, WHICH HAD STOOD -- HAS STOOD THE TEST OF TIME, AND CREATE ANY STRUCTURES THAT ACTUALLY MAKE US CAPTURABLE -- AND BY THE WAY, WE ALL THINK OF CAPTURE WRONGLY AS SOMETHING GOVERNMENTS COULD DO. FRANKLY, GOVERNMENTS AT ICANN HAVE BEEN PROBABLY THE MOST COOPERATIVE TO MAKE THIS PROCESS CONCLUDE PROPERLY. I AM MOST WORRIED ALSO OF SHIFTING CAPTURE TO SPECIAL INTERESTS. WE MUST MAKE SURE -- AND YOU GOVERNMENTS, MUST HELP US MAKE SURE THAT ICANN'S STRENGTH IS ITS INDEPENDENCE. ITS INDEPENDENCE. IF WE LOSE THAT INDEPENDENCE, WE LOSE THE MULTISTAKEHOLDER MODEL, WE LOSE EVERYTHING WE HAVE. WE MUST REMAIN INDEPENDENT. INDEPENDENT OF CAPTURE, INDEPENDENT OF SPECIAL INTERESTS, AND INSTEAD SERVING THE PUBLIC INTEREST. THAT IS MY BIGGEST WORRY. AND MY CHANCE, AND YOUR CHANCE, LADIES AND GENTLEMEN, THIS WEEK, IS TO HELP US MAKE SURE WE STICK TO THESE PRINCIPLES AND WE KEEP ICANN DIVERSE, INCLUSIVE, OPEN, AND MULTISTAKEHOLDER. THANK YOU.

AS YOU WILL HAVE ALL NOTED, THERE WAS A LITTLE BIT OF DUPLICATION BETWEEN FADI'S SPEECH AND THE PREVIOUS PRESENTATIONS. I WOULD LIKE TO CORRECT A FEW POINTS ABOUT THE WAY FADI HAS CHARACTERIZED THE WORK OF OUR GROUP WHICH I THINK IS IMPORTANT FOR THIS ROOM TO BE AWARE OF. POINT NUMBER ONE, THE SLIDE DECK THAT FADI HAS INTRODUCED, GIVEN THAT WE'VE HAD MORE THAN 14 HOURS OF MEETING ALREADY IS OUTDATED. I STRONGLY ENCOURAGE THAT YOU REFER TO OLGA'S PRESENTATION AS WELL AS THE ONE WE'VE JUST PROVIDED. BECAUSE YES, THINGS ARE MOVING FAST. SO FOCUSING ON THE MOST RECENT MATERIAL CAN BE VERY IMPORTANT TO ENSURE YOU HAVE EFFICIENT DEBATES AND DISCUSSIONS.
SECONDLY, FADI REFERRED TO OUR GROUP AS INVESTIGATING A DESIGNATOR MODEL. THAT IS NOT ADEQUATELY CAPTURING WHERE WE ARE NOW. WHERE WE ARE NOW IS THAT OUR SECOND REPORT IS FOCUSED ON A SOLE MEMBERSHIP MODEL AND THERE HAS BEEN WORK. AND THE WAY TO INVESTIGATE HOW A SOLE DESIGNATOR MODEL WOULD LOOK LIKE BUT IN NO WAY IS OUR GROUP AT A POINT WHERE IT HAS BEEN SHIFTING ITS FOCUS ON SOMETHING ELSE. THERE IS -- IT'S ALSO USEFUL TO REPORT THAT THE ARBITRATION MODEL THAT HAS BEEN PART OF THE BOARD COMMENT IN THE PUBLIC COMMENT HAS BEEN ASSESSED. THERE IS -- THERE HAS BEEN LEGAL REVIEWS WORK IN THE WORK PARTIES ON THIS. AND I THINK A SUMMARY COULD BE THERE ARE SERIOUS LEGAL UNCERTAINTIES ABOUT ITS EFFICIENCY. THERE'S EVEN DEBATE AMONG LAWYERS. THAT'S WHY I'M MENTIONING UNCERTAINTIES ABOUT LEGAL EFFICIENCY. AND FINALLY, I THINK THE DISCUSSION ON THE BOARD MEMBER REMOVAL WAS INTERESTING AND WE GOT FADI'S PERSONAL VIEW ON THIS. BUT IT'S WORTH NOTEING THAT THIS VERY MOMENT WE'VE MADE TREMENDOUS PROGRESS WITH A LOT OF BOARD MEMBERS BEING PERSONALLY INVOLVED IN EXPRESSING THEIR SUPPORT FOR THE WAY FORWARD THAT WE HAVE FOUND, SO I THINK THIS IS A GOOD EXAMPLE OF THE PROGRESS WE'RE MAKING. SO I WILL JOIN FADI IN SAYING THAT WE HAVE LITTLE TIME. THIS IS REALLY THE MOMENT TO ENGAGE, DISCUSS, AND DISCUSS ON THE BASIS OF FACTS THAT ARE ACCURATE AND AVOID SPREADING ANY UNCERTAINTIES THAT MIGHT MAKE THE DECISION HARDER TO MAKE.
