Verisign $VRSN Q3 2018 Earnings, LIVE Webcast Oct 25, 4:30pm EDT

UPDATE: VeriSign, Inc. (NASDAQ: VRSN) (domain: Verisign.com), registry operator of top-level domains (TLDs), including gTLDs .COM and .NET, and an internet security services provider, released earnings for the third quarter, Q3 2018, at approximately 4:05 p.m. EDT Thursday, Oct 25, 2018.

UPDATE: Earnings Results (pdf) excerpts--GAAP EPS of $1.13, revenue of $305.78M (+4.6% Y/Y):
Third Quarter GAAP Financial Results VeriSign, Inc. and subsidiaries (“Verisign”) reported revenue of $306 million for the third quarter of 2018, up 4.6 percent from the same quarter in 2017. Verisign reported net income of $138 million and diluted earnings per share (diluted “EPS”) of $1.13 for the third quarter of 2018, compared to net income of $115 million and diluted EPS of $0.93 for the same quarter in 2017. The operating margin was 63.8 percent for the third quarter of 2018 compared to 61.9 percent for the same quarter in 2017.
On Oct. 24, 2018, Verisign entered into an agreement with NeuStar, Inc. (“Neustar”) to sell the rights, economic benefits, and obligations, in all customer contracts related to its Security Services business. The transaction includes the sale of customer agreements related to Verisign’s Distributed Denial of Service Protection, Managed Domain Name System (“DNS”), DNS Firewall, and Recursive DNS services. Verisign will retain its proprietary technology, network assets, critical infrastructure, software, and public DNS service to focus solely on supporting Verisign’s core mission: ensuring the security, stability, and resiliency of our core infrastructure. As part of the transaction, Verisign will continue to support the Security Services customers during the transition to Neustar, pursuant to a transition services agreement that is expected to be executed at closing. The transaction is subject to customary regulatory approval and is expected to close shortly following the receipt of such approval. The purchase price, subject to a cap of $120 million, consists of a payment of $50 million, due at the time of closing, plus an additional contingent amount, due after the first anniversary of closing. The additional contingent amount, which cannot be negative, is based upon, among other things, the successful transition of customers to Neustar during the 12-month period following closing. In commenting on the transaction, Jim Bidzos added: “Verisign is committed to focusing on its core mission of providing critical internet infrastructure, including Root Zone management, operation of 2 of the 13 global internet root servers, operation of .gov and .edu, and authoritative resolution for the .com and .net top-level domains, which support the majority of global ecommerce. For this reason, Verisign is transitioning its Security Services customers to Neustar.” (emphasis added)

"... it is now obvious to everyone (except 'deniers') that ICANN grossly mismanaged its ill-conceived and misbegotten expansion of gTLDs (from just 22 to over 1200). Among the multitude of mistakes, probably the most egregious were rejecting the advice of the Federal Trade Commission (FTC) (pdf) and U.S. Department of Justice Antitrust Division (pdf) with regard to competition, pricing power, and consumer (registrant) benefits and protections. The above referenced letter from the US DOJ Antitrust Division was attached to a letter to ICANN from NTIA in Dec 2008 (pdf)."
The financial impact on ICANN is just one of the many consequences of the new gTLDs program debacle, with others yet to come.

As we look ahead at the next few years, this flexibility is unlikely to continue, as funding is stabilizing for the foreseeable future at a level of US$135 million to US$140 million per fiscal year. During the next fiscal year, therefore, ICANN org will not be able to undertake new projects that have not been planned for in the FY19 Budget, unless and until ICANN org has concluded that available contingency funds can responsibly be allocated for that purpose or has identified corresponding budget savings to offset unplanned spending. a. ICANN & Verisign a Dirty Secret? Special Investigation: The Dirty Secret Behind Warren Buffett’s Billions | TheNation.com: "The company is called Verisign ... As of September 2017, two of Verisign’s domain-name registries, the aforementioned .com and .net, accounted for 145.8 million of the 330.7 million websites in existence, or nearly one in two. Take away the 144.7 million sites tied to a specific country (like .us, or .cn for China), and it’s more like four out of five. Any company controlling 80 percent of a given market can safely be termed a monopoly, though a spokesperson for Verisign said in a statement that “we believe competition is thriving in the market.” The nonprofit Internet Corporation for Assigned Names and Numbers (ICANN), the registry industry’s main regulator, granted Verisign exclusive contracts to operate .com and .net. Verisign can automatically renew the contracts as long as it meets certain performance metrics. The company was also initially permitted to raise prices gradually, despite the fact that the costs of managing a registry decline over time because the necessary infrastructure is already established. “If you’re giving a near monopoly in an industry where prices are falling, you would think that you would have terms in the contract to lower the price,” said economist Dean Baker, a critic of government-granted monopolies. Instead, prices for .net domain names can rise 10 percent per year; they’ve more than doubled since 2005, from $3.50 to $9.02 (Verisign’s statement called this price “lower than most competing legacy [top-level domains]”). Data Protection/Privacy Update: Latest Developments | ICANN.org Feb 14, 2018. Editor's note: ICANN had nothing of substance to report at the above link, but KrebsOnSecurity.com has reported details of the coming ICANN interim model:
"the system that ICANN is planning to recommend, according to sources, would ask registrars and registries to display just the domain name, city, state/province and country of the registrant in each record; the public email addresses would be replaced by a form or message relay link that allows users to contact the registrant. The source also said ICANN plans to leave it up to the registries/registrars to apply these changes globally or only to natural persons living in the European Economic Area (EEA). In addition, sources say non-public WHOIS data would be accessible via a credentialing system to identify law enforcement agencies and intellectual property rights holders. Earnings Results Fourth Quarter GAAP Financial Results VeriSign, Inc. and subsidiaries (“Verisign”) reported revenue of $296 million for the fourth quarter of 2017, up 3.2 percent from the same quarter in 2016. Verisign reported net income of $103 million and diluted earnings per share (diluted “EPS”) of $0.83 for the fourth quarter of 2017, compared to net income of $106 million and diluted EPS of $0.84 for the same quarter in 2016. The operating margin was 59.7 percent for the fourth quarter of 2017 compared to 59.0 percent for the same quarter in 2016.

Verisign ended the fourth quarter with 146.4 million .com and .net domain name registrations in the domain name base, a 2.9 percent increase from the end of the fourth quarter of 2016, and a net increase of 0.57 million during the fourth quarter of 2017. • In the fourth quarter, Verisign processed 9.0 million new domain name registrations for .com and .net, as compared to 8.8 million for the same quarter in 2016. • The final .com and .net renewal rate for the third quarter of 2017 was 74.4 percent compared with 73.0 percent for the same quarter in 2016. Renewal rates are not fully measurable until 45 days after the end of the quarter. Estimate 72.2% renewal rate for Q4 2017.
Editor's note: .NET is continuing its decline in registrations (losing 500,000 registrations QoQ to end at 14.5 million end of Q4), but more than offset by gains in .COM registrations (131.9 million at end of Q4, up from 130.8 Million at the end of Q3). No 2018 guidance based upon .WEB and whether it will even launch in 2018 (timing is dependent on ICANN). No news whether NTIA will extend the Cooperative Agreement (with reference to .COM) beyond Nov 30, 2018.

Our evaluation of the models offered by ICANN are based on three fundamental principles. No model that fails to conform to all three is acceptable to the NCSG.
1. The purpose of whois must be strictly tied to ICANN's mission. That is, the data that is collected and the data that are published must directly and demonstrably contribute to ICANN's mission as defined in Article 1 of its new bylaws. We reject any definition of Whois purpose that is based on the way people happen to make use of data that can be accessed indiscriminately in a public directory. The fact that certain people currently use Whois for any purpose does not mean that the purpose of Whois is to provide thick data about the domain and its registrant to anyone who wants it for any reason.
2. Whois service, like the DNS itself, should be globally uniform and not vary by jurisdiction. ICANN was created to provide globalized governance of the DNS so that it would continue to be globally compatible and coordinated. Any solution that involves fragmenting the policies and practices of Whois along jurisdictional lines is not desirable.
3. No tiered access solution that involves establishing new criteria for access can feasibly be created in the next 3 months. We would strongly resist throwing the community into a hopeless rush to come up with entirely new policies, standards and practices involving tiered access to data, and we do not want ICANN staff to invent a policy that is not subject to community review and approval. Based on these three principles, we believe that Model 3 is the only viable option available.

a. Collapse in new gTLDs' domain name registrations continues into 2018--Editor's noteThe below is NOT a picture of "Lack of Awareness" but "Registrant Rejection" of new gTLDs--

After the collapse in new gTLDs' domain name registrations in 2017, some were hoping for a 'turnaround' starting in January 2018--no such luck--nobody wants these "losers" anymore--not even Chinese speculators (who have since moved on to crypto). Here are the details from the ntldstats.com data:
New gTLDs' domain name registrations as of 12/31/2017: 23,819,095
New gTLDs' domain name registrations as of 01/31/2018: 23,046,656
Net LOSS in January 2018 --------------------------------------- (772,439)
January Net Loss (772,439) X 12 (months) = Projected Net LOSS of (9,269,268) new gTLDs' domain name registrations for all of 2018 at January's rate, which would be equal to a net loss of 39% of all new gTLDs' domain name registrations existing on the last day of 2017.

Data at namestat.org shows only 19.8 million new gTLD domain name registrations as of Feb 1, 2018.

Editor's note: As I noted last month, it is now obvious to everyone (except 'deniers') that ICANN grossly mismanaged its ill-conceived and misbegotten expansion of gTLDs (from just 22 to over 1200). Among the multitude of mistakes, probably the most egregious were rejecting the advice of the Federal Trade Commission (FTC) (pdf) and U.S. Department of Justice Antitrust Division (pdf) with regard to competition, pricing power, and consumer (registrant) benefits and protections. The above referenced letter from the US DOJ Antitrust Division was attached to a letter to ICANN from NTIA in Dec 2008 (pdf).

Gross additions [in .COM and.NET registrations] during the quarter benefited from continued strength from US based registrars. Although renewal rates are not fully measurable until 45 days after the end of the quarter, we believe that the renewal rate for the third quarter of 2017 will be 74.3%. This preliminary rate compares to 73.0% achieved in the third quarter of 2016. We expected increase to the domain name base during the fourth quarter of between 0.4 million to 0.9 million registrations, which is consistent with the full year 2017 domain name base growth rate of 2.8% to 3.1%. .... The [new gTLD .WEB] update is really the same, there's no new news, although there is activity, the process is ongoing. ICANN has granted VeriSign a perpetual monopoly operating the .COM and .NET generic top-level domains (gTLDs). .COM is the global "gold standard" among all TLDs--as of Q1 2017, the eight largest TLDs (gTLDs & ccTLDs) per the Verisign Domain Name Industry Brief Q1 2017--

Beginning in 2014, ICANN grossly over-expanded the number of gTLDs from 22 to more than 1200, a move that is proving to be an ill-conceived, horribly implemented, "disaster" and new gTLDs' domain name registrations are collapsing.

Although .COM domain name registrations continue to grow, .NET registrations have been declining since 2016. As of August 28, 2017, Verisign reports:

ICANN recently renewed the .NET registry agreement allowing VeriSign to increase fees 10% per annum, whereas .COM prices are restrained by virtue of Amendment 32 (pdf) to NTIA's Cooperative Agreement ($7.85 registration/renewal fee) which will expire, unless extended by NTIA, on November 30, 2018, but also further subject to the terms of an amendment (pdf) to the .COM Registry Agreement between ICANN and VeriSign.

VeriSign also provides registry services for other TLDs, internet security services, and operates 2 (A. and J.) of the internet's 13 authoritative name servers that serve the global DNS root zone.
